Under the articles of association of Intrum Justitia AB, the Company's share capital may not be less than SEK 1,500,000 or more than 6,000,000, represented by shares of SEK 0.02 nominal value.  Following completion of the offering, and the issue of 30,638,298 new shares in the offering, the Company's share capital will be SEK 1,699,712.08, consisting of 84,985,604 ordinary shares.  Each ordinary share confers the right to one vote at the Company's general meeting.  At the company's general meetings, parties entitled to vote may do so on the basis of the entire number of share held or represented by such parties, without limitation on the number of votes.  All ordinary shares provide for equal rights to participation in the Company's assets and profits.

The procedure entailed the distribution of the total sum of SEK 590,465,652 to the shareholders, whereby the company's share capital was reduced by SEK 140,587.06 and its share premium reserve was reduced by SEK 590,325,064.94.
